Terms and Conditions
By agreeing for Jorvik Design to carry out any design and/or print work, you are agreeing to the Terms and Conditions.
Estimates
The placement of an order for design and/or any other services offered by Jorvik Design and validated by the customer's signature on the estimate or quotation form, or other means of communication expressing their acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and Jorvik Design.
Jorvik Design aims to ensure estimates are as accurate as possible. It is the customers responsibility to check each quote is correct and based on their specification. Quotes and estimates given expire 30 days after the issue date. Estimates can be subject to amendments depending on the cost of such things as materials after that time. Estimates are given exclusive of VAT, which if appropriate and the product is plus rated for VAT then VAT will be added at the current rates set by the HMRC.
The project must be completed within 3 months of the signature date on the contract, it cannot be postponed or delayed unless otherwise agreed. If the project runs over 3 months due to the clients fault, the contract will be re-assessed and the client will be quoted appropriately.
Print quotes are independent of design quotes, a design contract does not bind you to print. If you choose to print through Jorvik Design the payment for printing must be received in full before the printing commences.
File Checking
Jorvik Design will send electronic proofs for client approval. it is the clients responsibility to check each proof for errors, spelling mistakes and other corrections, On satisfaction of the final proof, the client will contact Jorvik Design either by writing or email stating that approval is given to proceed to print. Jorvik Design cannot be held responsible for any errors once the client has signed off the proof. The Client shall incur the cost of correcting such errors.
Alterations
Jorvik Design will provide a reasonable amount of amendments to a customers draft designs. The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge.
Colour Matching
The customer accepts the fact that colour matching from either a digital proof or a previous print job cannot be guaranteed, and that Jorvik Design cannot be held accountable for any degree of difference due to the technical nature for the print environment.
Image Quality
Jorvik Design will inform the customer if images supplied are, in their professional opinion, not of suitable quality for print. However, if the customer once apprised of this, chooses to retain use of the image in question, Jorvik Design will not be held responsible for quality of reproduction.
Rights of Refusal
Jorvik Design will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. We also reserves the right to refuse to include submitted material without giving reason. Any images and/or data that Jorvik Design does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the customer is obliged to allow Jorvik Design to remove the contravention without hindrance, or penalty. Jorvik Design is to be held in no way responsible for any such data being included.
Payment
Payment shall become due upon delivery of work. Jorvik Design reserve the right to ask for part or full payment at any time during the project. On all first orders and for customers who do not have an account with Jorvik Design, we will take payment before any print work commences. If credit terms are agreed with between Jorvik Design and the customer then all invoices are to be paid within 30 days. If after 30 days any outstanding amount remain unpaid charges will apply, in accordance with the Late Payment Commercial Debt (Interest) Act 1998 or any subsequent enactment.
For all orders over £1000, Jorvik Design will invoice 50% on client approval of the final proof before any print work commences , and 50% will be invoiced on delivery of goods. All goods remain the property of Jorvik Design until payment in full has been received.
All work carried out shall be charged. Any extra work carried out that is above and beyond what was set out in the estimate will also be charged. This includes all initial work whether or not that work is taken to production. Should the work be suspended or delayed for any reason by the customer, Jorvik Design have the right to charge for work already carried out and any other loss incurred.
The customer is not permitted to make any deductions from the final amount for any reason, any deductions will be at the discretion of Jorvik Design.
Delivery
Jorvik Design aims to meet all customer deadlines and delivery dates, in cases where delivery has been delayed for whatever reason, Jorvik Design cannot be held accountable. Time-scales for any work undertaken by Jorvik Design can only be taken as guidelines and cannot be guarantees. If a failed delivery attempt is made, Jorvik Design will pass on any extra charges incurred the customer for extra delivery charges, depending on the courier terms and conditions.
Cancellation
Cancellation of orders may be made initially by telephone contact, or e-mail, however, following this, Jorvik Design will need formal notification in writing to the company's postal address. The client will then be invoiced for all work completed. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by Jorvik Design within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.
Debt Recovery
The customer is liable for payment of all debt recovery costs incurred by Jorvik Design if it becomes necessary to retrieve outstanding fees. This includes court costs and costs incurred by third party debt collecting agencies. If the customer is subject to Insolvency and work has not been paid for in full, Jorvik Design may take measures to retrieve the goods.
Copyrights and Trademarks
By supplying text, images and other data to Jorvik Design for inclusion in any customer's work, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.
Should the customer supply an image, text, or any other file for use in a any promotional item, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow Jorvik Design to remove and/or replace the file, any reprint or design costs incurred will be chargeable to the customer.
Any artwork, images, or text supplied and/or designed by Jorvik Design on behalf of the customer, will remain the property of Jorvik Design.
The customer may request Jorvik Design, the necessary permission to use materials, in forms other than for which it was originally supplied, and Jorvik Design may, at it's discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used.
All work created by Jorvik Design remains our copyright until final payment is received. Once we have received payment, all final published artwork becomes the ownership of the customer excluding fonts and other items that may have been sourced from a third party.
Jorvik Design reserves the right to use these designs for promotional material.
Disclaimer
Jorvik Design makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Jorvik Design will not be held responsible for any and all damages resulting from products and/or services it supplies. Jorvik Design is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Jorvik Design responsible for any such loss or damage. Any claim against Jorvik Design shall be limited to the relevant fee(s) paid by the customer.
Jorvik Design reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions.
